Important: Specific deliverables, timelines, pricing, and scope are defined in your order form, proposal, statement of work, or service agreement (collectively, the “Order”). If there is a conflict, the Order controls.

4) Accounts, access, and client responsibilities

You agree to:

  • Provide accurate onboarding information and timely access to required systems

  • Maintain confidentiality and security of login credentials

  • Ensure your team uses the Services appropriately

  • Comply with all applicable laws (including marketing, telephony, privacy, and recording laws)

You are responsible for your internal processes (e.g., who receives leads, how bookings are handled, and how quickly your team follows up).

5) AI, automation, and limitations

You acknowledge that:

  • AI outputs can be imperfect or incomplete.

  • The Services are designed to assist workflows, not replace professional judgement.

  • Call flows and automations depend on the information you provide and on third-party platforms working correctly.

We do not guarantee that AI voice agents will always understand every caller or scenario, and we do not guarantee specific business outcomes (e.g., number of booked jobs, revenue, or conversion rate).

6) Call recording, consent, and compliance

If call recording or transcription is enabled, you are responsible for ensuring appropriate notices and consents are provided to callers as required by law.

Recording and disclosure requirements vary by jurisdiction, including by U.S. state. We can help implement disclosures and configurations, but you remain responsible for legal compliance for your business and use case.

You agree not to use the Services for unlawful monitoring or to collect sensitive information unless you have a lawful basis and appropriate safeguards.

7) Third-party services and fees

The Services may depend on third-party platforms (e.g., telephony providers, AI providers, calendar/CRM systems, hosting). These third parties may have their own terms, privacy policies, uptime, and pricing.

Unless otherwise stated in your Order:

  • Third-party fees (e.g., phone numbers, minutes, usage-based AI costs) are separate and paid by you directly, or passed through to you.

  • We are not responsible for third-party outages, errors, policy enforcement, or price changes.

8) Payment, billing, and taxes

Pricing and payment terms are set out in your Order. Unless stated otherwise:

  • Fees are due in advance and are non-refundable once Services are performed or access is provided.

  • Late payments may result in suspension of Services.

  • You are responsible for any applicable taxes, duties, or similar governmental assessments.

9) Changes to scope and additional work

Any request outside the agreed scope may require a change order and additional fees. We will communicate changes and obtain your approval before starting materially out-of-scope work.

10) Intellectual property

Our materials

We retain all rights to our pre-existing tools, templates, code patterns, prompts, and know-how (“Tile And Talk IP”). You receive a limited, non-exclusive right to use deliverables provided to you for your internal business use, subject to these Terms and your Order.

Your materials

You retain ownership of your data, branding, scripts, customer lists, and systems. You grant us a limited licence to use your materials solely to provide the Services.

Feedback

If you provide suggestions or feedback, you allow us to use it without restriction or compensation.

11) Confidentiality

Each party may receive confidential information from the other. Both parties agree to:

  • Use confidential information only for the purposes of providing/receiving Services

  • Protect it with reasonable care

  • Not disclose it to third parties except as required to perform Services or by law

  • Required third-party services become unavailable

You may terminate according to your Order’s terms. Upon termination:

  • You remain responsible for fees incurred up to termination

  • Access to systems/workflows may be removed

  • We may delete or return data as agreed (subject to retention requirements)

14) Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or that any specific results will be achieved.

15) Limitation of liability
